Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cite AI and its related services (collectively, the "Service"), operated by Cite AI, LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Cite AI provides an answer-engine optimization platform that monitors how brands and content appear in AI-generated responses across large language model providers including OpenAI, Anthropic, Google, and Meta. Features include query monitoring, citation tracking, sentiment analysis, risk diagnostics, and reporting.

2. Accounts and Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at info@usecite.com if you suspect unauthorized access. Each workspace (organization) may have multiple users; the account owner is responsible for ensuring all users comply with these Terms.

3. Acceptable Use

You agree not to:

• Sublicense, resell, or make the Service available to parties outside your organization without our written consent
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to store or transmit malicious code or to violate any applicable law
• Scrape or systematically extract data from the Service beyond normal product usage
• Circumvent any access controls, rate limits, or query limits associated with your plan

4. Subscription Plans and Payment

The Service is currently offered under a free Early Adopter tier, which includes up to 5 tracked queries per workspace. Paid tiers will be introduced before we exit beta; we will provide at least 30 days' notice before any billing begins. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice to your registered email address.

5. Intellectual Property

All rights, title, and interest in the Service — including the platform, underlying algorithms, UI, and aggregated or anonymized data derived from Service usage — remain exclusively with Cite AI, LLC Your content (brand names, query text, domain configurations) remains yours. You grant us a limited license to process that content solely to deliver the Service to you. AI-generated answer snapshots stored in your reports are part of your account data and are not licensed to other customers.

6. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to those practices.

7. Confidentiality

Each party agrees to keep the other's non-public business information confidential and not to use it for any purpose outside the performance of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach if the breach remains uncured for 30 days after written notice. We may suspend or terminate your account immediately for violations of the Acceptable Use section. Upon termination, your right to access the Service ends; you may request an export of your data within 30 days.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITE AI, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF $50 OR THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Cite AI, LLC, its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States applicable to agreements made and performed entirely within the US. If a dispute arises, we'd prefer to resolve it by email first — reach out to info@usecite.com and we'll do our best to sort it out quickly. If that doesn't work, disputes will be resolved in the courts of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. General

These Terms constitute the entire agreement between you and Cite AI, LLC regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.
